Bio

Managing Partner, David J. Heymann, is a Partner in the firm’s Corporate/Business, Real Estate and Crisis Management, Investigations & Constitutional Law Practice Groups. David brings a unique skill set to his practice. Part corporate lawyer, part real estate lawyer and both an outside and an in-house counsel, he’s essentially a business lawyer and a trusted advisor and sounding board on major decisions and judgment calls for his clients.

David’s practice encompasses complex business combination transactions, structuring and drafting joint ventures, tender offers, SEC compliance filings and proxy statements. He represents issuers in private offerings and buyers and sellers of businesses, and has extensive experience in loan originations and acquisitions, UCC foreclosures and drafting employment, shareholder and other general corporate agreements.

Much of his work entails drafting agreements for existing and newly formed real estate related ventures and REITs that will hold up as years pass, with a sharp focus on complex capital structures involving preferred equity and promoted interests, management rights, exit strategies and other variables.

David has substantial experience in all facets of real estate loan transactions; having represented lenders and borrowers in drafting and negotiating loan documents, participation and intercreditor agreements, forbearance and other workout agreements, and loan purchases.

David first studied at Carnegie Mellon University before graduating from Binghamton University with a B.S. in Chemistry. At Hofstra Law School, he ranked fifth in a class of 300 after his first year and made Law Review. “Chemistry and math appealed to me because I like the logic associated with solving problems. And that’s precisely what I do as an attorney, take a logical (yet creative at times) approach to achieving a client’s goal. I identify risk and find ways to limit that risk. If it can’t be done one way, there’s usually another way to achieve the goal.

Prior to merging his firm with Meltzer Lippe, David was a Partner at Post Heymann & Koffler LLP, a boutique firm he co-founded in 1994 that represented both public and private real estate companies.

A Buffalo native and committed Buffalo Bills and Sabres fan, David enjoys exercising, hiking and biking.
